Terms of Service

These Terms of Service ("Terms") govern access to and use of OrbitX's website, demos, and field service management platform (the "Services"). By accessing or using the Services, you agree to these Terms.

If you are using OrbitX on behalf of a company, you represent that you have authority to bind that company, and "you" includes that organization. If you do not agree, do not use the Services.

OrbitX provides software and related services to help teams schedule, dispatch, manage, and report on field operations. Features may vary by plan and may change over time as we improve the product.

Marketing pages and demos describe OrbitX generally; your order form, subscription plan, or master agreement (if any) controls the specific features and commercial terms for your account.

To use customer features of OrbitX you must:

• Provide accurate registration and billing information
• Keep login credentials confidential and notify us of suspected unauthorized access
• Be at least 18 years old and legally able to enter into these Terms
• Use the Services only for lawful business purposes

You are responsible for activity that occurs under your account credentials.

You agree not to:

• Misuse the Services, probe or disrupt systems, or attempt unauthorized access
• Upload malware, unlawful content, or content you do not have rights to use
• Interfere with other customers' use of OrbitX
• Resell, sublicense, or reverse engineer the Services except as allowed by law
• Use OrbitX to violate privacy, export, employment, or other applicable laws

You retain ownership of data and content you submit to OrbitX ("Customer Content"). You grant OrbitX a limited license to host, process, and display Customer Content solely to provide and improve the Services.

You are responsible for the accuracy of Customer Content and for having the rights and consents needed to use it in OrbitX, including personal data of your employees, technicians, and end customers.

Each party may receive non-public information from the other. Recipients will protect that information with reasonable care and use it only to perform under these Terms, except where disclosure is required by law or the information becomes public through no fault of the recipient.

Paid plans are billed according to the pricing, term, and payment method stated at signup or in your order. Fees are generally non-refundable except where required by law or expressly stated otherwise.

We may suspend or limit access for unpaid invoices after reasonable notice. Taxes may apply based on your billing location.

OrbitX and its licensors own all rights in the Services, software, branding, and documentation. These Terms do not transfer ownership of OrbitX IP to you. Feedback you provide may be used by OrbitX without obligation to you.

OrbitX may integrate with third-party products (maps, messaging, storage, SSO, and similar). Those services are governed by their own terms. OrbitX is not responsible for third-party services outside our reasonable control.

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, ORBITX DISCLAIMS WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED OR ERROR-FREE.

To the maximum extent permitted by law, OrbitX will not be liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, or data, arising from your use of the Services.

OrbitX's aggregate liability for claims relating to the Services in any twelve-month period will not exceed the amounts you paid to OrbitX for the Services in that period (or USD $100 if you use only free or demo features).

You may stop using the Services at any time. We may suspend or terminate access if you materially breach these Terms, fail to pay fees, or create risk to the platform or other users. Upon termination, your right to access the Services ends; provisions that by nature should survive will survive.

We may update these Terms or the Services from time to time. Material changes to the Terms will be posted on this page with an updated date. Continued use after changes become effective constitutes acceptance, except where additional consent is required by law.

These Terms are governed by the laws applicable to OrbitX's principal place of business, without regard to conflict-of-law rules, unless a written agreement with your organization specifies otherwise. Courts in that jurisdiction will have exclusive venue for disputes, subject to mandatory consumer protections where they apply.
